These Terms of Service ("Terms") govern your access to and use of RootSystems' products and services, including Offboarding Proof, TPRA, the HIPAA Compliance Tool, and AI Compliance Readiness (collectively, the "Services"), provided by RootSystems ("we," "us," or "our"). By creating an account or using any of our Services, you agree to these Terms.
1. Who We Are
RootSystems builds compliance and security verification software for businesses. Our Services help organizations assess, track, and document their compliance posture across areas like access governance, vendor risk, healthcare regulatory requirements, and AI governance.
2. Using Our Services
You must be at least 18 years old and able to form a binding contract to use our Services. You're responsible for the accuracy of information you or your organization submits through our Services, and for keeping your account credentials secure. You agree to notify us promptly if you suspect unauthorized access to your account.
You may not use the Services to:
- Violate any applicable law or regulation
- Attempt to gain unauthorized access to our systems or another customer's data
- Interfere with or disrupt the integrity or performance of the Services
- Reverse-engineer, decompile, or attempt to extract the source code of our software, except where applicable law permits it
3. What Our Services Do — and Don't — Provide
Our Services are designed to help you assess and document compliance-related information. They are tools to support your compliance efforts, not a substitute for legal, regulatory, or professional compliance advice. A completed assessment, score, or report from our Services does not guarantee regulatory compliance, and does not constitute legal advice. You remain responsible for your organization's actual compliance with applicable laws and regulations.
Where a Service relies on information you provide (such as questionnaire responses), the accuracy of any resulting report depends on the accuracy of that information. Where a Service checks live system state directly (such as Offboarding Proof's integration checks), we make reasonable efforts to ensure accuracy but cannot guarantee the completeness of third-party system responses.
4. Subscriptions and Payment
Certain Services are offered on a subscription basis. Fees, billing frequency, and available plans are described on our pricing page at the time of purchase. Subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time through your account settings or by contacting us; cancellation takes effect at the end of your current billing period unless otherwise stated.
Payments are processed by a third-party payment provider. By subscribing, you also agree to that provider's applicable terms.
5. Your Data
You retain ownership of the data you submit to our Services. We use your data to provide, maintain, and improve the Services, and we do not sell your data to third parties. For details on how we collect, use, and protect your data, see our Privacy Policy.
If your use of our Services involves regulated data (such as protected health information under HIPAA), you are responsible for ensuring you have the appropriate agreements in place with us where legally required, and for using the Service in a manner consistent with your own regulatory obligations.

RootSystems retains all rights, title, and interest in the Services, including our software, designs, and underlying methodology. Nothing in these Terms transfers ownership of our intellectual property to you. You retain rights to the data and content you submit.
7. Termination
We may suspend or terminate your access to the Services if you violate these Terms, or if we reasonably believe your use poses a security or legal risk to us or other customers. You may terminate your account at any time. Upon termination, your right to access the Services ends, though certain provisions of these Terms (such as intellectual property and limitation of liability) survive termination.
8. Disclaimers
The Services are provided "as is" and "as available." While we work hard to keep our Services accurate, secure, and available, we do not warrant that the Services will be uninterrupted, error-free, or that they will meet every specific requirement of your organization or industry.
9. Limitation of Liability
To the maximum extent permitted by law, RootSystems will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services is limited to the amount you paid us in the twelve months preceding the claim.
10. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll provide reasonable notice, such as by email or an in-product notice, before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
